Terms of Use
The rules and conditions that govern your access to and use of the OpenTech Support website, forms, AI assistant, portals, and related online services.
These Terms of Use ("Terms") govern your access to and use of the OpenTech Support website located at opentech.support and related web properties, forms, tools, portals, and online services (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
These Terms apply to your use of the Site as a visitor or prospective client. They do not replace or supersede any separate written service agreement, master services agreement ("MSA"), or statement of work between your organization and OpenTech Support for managed IT, cybersecurity, or related professional services. In the event of a conflict, the applicable written service agreement governs.
1. Definitions
In these Terms:
- "OpenTech," "we," "our," or "us" refers to OpenTech Support and its authorized personnel.
- "Site" means the opentech.support website, all pages, forms, tools, and online services accessible through it.
- "You" or "User" means any individual or entity accessing or using the Site.
- "Content" means all text, images, data, software, designs, graphics, and other materials available on or through the Site.
- "Submission" means any information you provide to us through forms, chat tools, ticket systems, or other input mechanisms on the Site.
2. Acceptable Use
You may access and use the Site only for lawful purposes and in accordance with these Terms. You agree to use the Site in a manner consistent with all applicable local, state, national, and international laws and regulations.
The Site is intended for use by businesses, IT professionals, and individuals seeking managed IT support, cybersecurity services, or related technical assistance. Personal consumer use is not the primary intended purpose of the Site.
3. Prohibited Activities
You agree not to:
- Access, tamper with, or attempt unauthorized access to any system, account, database, server, network, or service connected to or operated by OpenTech.
- Probe, scan, or test the vulnerability of the Site or any connected system without express written authorization from OpenTech.
- Interfere with the security, performance, integrity, or availability of the Site or its infrastructure.
- Upload, transmit, or introduce malware, ransomware, viruses, spyware, worms, trojan horses, or other malicious code or content.
- Abuse, flood, or conduct denial-of-service attacks against the Site or its hosting infrastructure.
- Submit false, fraudulent, or misleading information through any form, ticket system, or support channel.
- Impersonate any person, company, employee of OpenTech, or misrepresent your identity, affiliation, or authority.
- Use automated scraping, crawling, data mining, or harvesting tools against the Site in a manner that disrupts its operation or circumvents access controls.
- Circumvent, disable, or interfere with any security feature, access control, rate-limiting, or anti-abuse mechanism on the Site.
- Use the Site to facilitate phishing, social engineering, or deceptive communications targeting OpenTech or its clients.
- Violate any applicable law, export control regulation, or third-party right, including intellectual property, privacy, and data protection laws.
4. Account Access and Portal Use
Certain areas of the Site, including the account portal, require authentication via a magic-link email or similar credential. You are responsible for maintaining the security of any authentication links or session tokens issued to you and for all activity that occurs under your account.
You agree to:
- Provide accurate and complete information when registering for or accessing portal features.
- Notify OpenTech promptly if you suspect unauthorized access to your account or authentication credentials.
- Not share authentication links, session tokens, or portal access with unauthorized individuals.
- Log out from authenticated sessions when using shared or public devices.
OpenTech reserves the right to suspend or terminate portal access if we reasonably suspect misuse, compromised credentials, or a violation of these Terms.
5. Forms and Service Submissions
The Site provides forms for submitting service requests, support tickets, bug reports, and general inquiries. By submitting information through these forms, you represent that:
- The information you submit is accurate, complete, and not misleading.
- You have the authority to submit any information on behalf of your organization.
- You are not submitting spam, automated, or malicious content.
- You understand that form submissions do not constitute a guarantee of a specific response time or outcome.
OpenTech may decline to respond to, act on, or retain submissions that appear abusive, fraudulent, or in violation of these Terms. Rate limits and abuse-prevention measures apply to all form submissions.
6. AI Assistant and Automated Tools
The Site may provide an AI-powered assistant, request analyzer, or other automated recommendation tools to help you triage issues, organize service requests, or identify next steps. You acknowledge that:
- AI-generated outputs are informational only and do not constitute professional IT, legal, compliance, medical, or emergency advice.
- AI responses may be incomplete, inaccurate, outdated, or unsuitable for your specific circumstances. You should not rely solely on AI outputs for critical decisions.
- Interactions with AI tools may be processed by third-party AI providers (such as OpenAI) as described in our Privacy Policy.
- You are responsible for verifying any AI-generated content before acting on it, particularly for security-sensitive, infrastructure-related, or compliance-related matters.
- OpenTech does not warrant the accuracy, fitness, or reliability of AI-generated content for any specific purpose.
Do not submit confidential, classified, personally sensitive, or legally privileged information to AI tools unless you have reviewed the applicable privacy disclosures and accept the associated risks.
7. Intellectual Property
All content on the Site — including but not limited to text, branding, logos, trademarks, service marks, design elements, graphics, software, source code, documentation, tools, and the overall look and feel of the Site — is owned by OpenTech Support, its affiliates, or respective licensors, and is protected by United States and international intellectual property laws.
Subject to these Terms, OpenTech grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purpose. This license does not include the right to:
- reproduce, modify, distribute, or create derivative works based on Site content,
- use OpenTech's name, logo, or trademarks without prior written consent,
- frame, mirror, or deep-link to Site content in a manner that misrepresents its origin,
- reverse engineer, decompile, or disassemble any software or component of the Site.
Any feedback, suggestions, or ideas you submit to OpenTech may be used by us without restriction or compensation, and you grant us a perpetual, royalty-free license to do so.
8. User-Submitted Content
By submitting content through the Site — including support descriptions, bug reports, service request details, and attachments — you represent that you have the right to submit such content and that doing so does not violate any third-party rights.
You grant OpenTech a limited license to use your submitted content to the extent necessary to provide the requested services, respond to your inquiry, or operate our support systems. We will handle your submissions in accordance with our Privacy Policy.
Do not submit content that includes confidential third-party data, personal health information, payment card data, government identification numbers, or other regulated categories of data unless required to fulfill a support request and you have the authority to share it.
9. Third-Party Links and Services
The Site may contain links to or integrations with third-party websites, platforms, portals, or tools — including our client portal (Zoho Desk), Microsoft services, monitoring platforms, or external resources. These links are provided for convenience only.
OpenTech is not responsible for the content, availability, accuracy, privacy practices, or terms of any third-party site or service. Accessing third-party resources is at your own risk. We encourage you to review the terms and privacy policies of any third-party service you use.
10. Availability and Modifications
OpenTech strives to maintain availability of the Site but does not guarantee uninterrupted or error-free access. We may, at any time and without notice:
- Modify, update, suspend, or discontinue any feature, tool, form, or section of the Site.
- Perform maintenance, updates, or security patching that temporarily affects availability.
- Limit access to certain portions of the Site for operational or security reasons.
- Change the design, layout, or content of the Site.
OpenTech will not be liable for any loss or damage arising from interruptions, changes, or discontinuation of Site features.
11. Disclaimer of Warranties
The Site and all content, tools, and services available through it are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
To the fullest extent permitted by applicable law, OpenTech disclaims all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, and uninterrupted availability.
OpenTech does not warrant that the Site will be free of errors, viruses, or other harmful components, that defects will be corrected, or that the Site will meet your specific requirements.
12. Limitation of Liability
To the maximum extent permitted by applicable law, OpenTech Support, its affiliates, directors, officers, employees, contractors, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:
- loss of profits, revenue, data, business, or goodwill,
- business interruption or loss of anticipated savings,
- unauthorized access to or alteration of your data or systems,
- reliance on AI-generated content or automated recommendations,
- delays or failures in service delivery through the Site.
These limitations apply regardless of the theory of liability (tort, contract, strict liability, or otherwise) and even if OpenTech has been advised of the possibility of such damages.
Where liability cannot be fully excluded under applicable law, OpenTech's total cumulative liability arising out of or related to your use of the Site shall not exceed the greater of (a) the amount you paid OpenTech for services in the three months preceding the claim, or (b) one hundred U.S. dollars (USD $100).
13. Indemnification
You agree to indemnify, defend, and hold harmless OpenTech Support and its affiliates, officers, directors, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- your use of or access to the Site in violation of these Terms,
- any content or information you submit through the Site,
- your infringement of any third-party intellectual property, privacy, or other rights,
- your violation of any applicable law or regulation.
14. Termination and Access Restriction
OpenTech reserves the right to suspend, restrict, or terminate your access to the Site at any time, with or without notice, for any reason, including but not limited to a violation of these Terms, suspected fraudulent or malicious activity, legal or regulatory obligation, or operational necessity.
Upon termination, your right to access and use the Site ceases. Provisions of these Terms that by their nature should survive termination will do so, including but not limited to intellectual property, disclaimers, limitation of liability, and indemnification.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States and the state in which OpenTech operates, without regard to conflict of law principles. Where applicable law requires a different governing jurisdiction, those requirements are not excluded by this provision.
If you access the Site from outside the United States, you are responsible for compliance with local laws to the extent applicable to your use of the Site.
16. Dispute Resolution
Before initiating any formal legal action, you agree to contact OpenTech at [email protected] and provide a written description of the dispute, the relief sought, and your contact information. We will attempt to resolve the matter informally within 30 days of receiving your notice.
If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the applicable rules of a recognized arbitration body, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Class action lawsuits and class-wide arbitration are waived to the maximum extent permitted by law.
Nothing in this section limits your rights as a consumer under applicable consumer protection laws that cannot be waived by contract.
17. General Provisions
- Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and OpenTech regarding your use of the Site and supersede all prior agreements relating to the same subject matter.
- Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
- Waiver: OpenTech's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
- No agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and OpenTech.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. OpenTech may assign its rights freely, including in connection with a merger, acquisition, or business transfer.
- Force majeure: OpenTech will not be liable for any failure or delay resulting from events beyond our reasonable control, including cyberattacks, internet infrastructure failures, natural disasters, acts of government, or utility failures.
18. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will update the effective date at the top of this page. Continued use of the Site after revised Terms are posted constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Site.
